| Abstract | 兼并收购是市场经济中企业资产重组最重要的方式。企业并购的直接收益在于扩大规模,占领市场,降低成本,实现规模效益,优势互补。然而,并购充满了风险,主要包括营运风险、信息风险、融资风险、反收购风险、法律风险以及我国特有的体制风险等。本文结合我国的国情,仅对并购交易中的信息风险的产生及防范作简单的探讨。 |
